Company overview

Our goal is to prevent and treat the major causes of blindness by developing and commercializing next-generation therapeutics for chronic, high-prevalence retinal diseases.

Since 2018, we have been generating clinical data with our most advanced product candidate, KSI-301, a biologic therapy built with our antibody biopolymer conjugate platform, or ABC Platform, which is designed to maintain potent and effective drug levels in ocular tissues for longer periods than the currently-marketed biologic medicines used to treat retinal diseases. As of November 9, 2020, KSI-301 has been administered more than 1,500 times to more than 400 patients representing more than 250 patient-years of clinical experience. We believe that KSI-301, if approved, has the potential to be an important therapy to treat patients with wet age-related macular degeneration, or wet AMD, diabetic retinopathy, or DR, including diabetic macular edema, or DME, and macular edema due to retinal vein occlusion, or RVO.

In our ongoing open-label Phase 1b clinical study, as of November 12, 2020 we have administered 648 doses of KSI-301 to 121 treatment-naïve patients with wet AMD, DME or RVO, and we have continued to observe promising safety, efficacy, and clinical durability data in each of the retinal diseases under study. We believe the data support an acceleration of efforts to bring KSI-301 to the market in these retinal diseases and that the data lend confidence to the design of our currently-ongoing and planned pivotal (registrational) studies of KSI-301. We believe these registrational clinical studies, if successful, may demonstrate a meaningfully differentiated clinical profile of KSI-301 as compared to current therapies, and we also believe that this profile would allow KSI-301 to compete effectively in the evolving commercial and product landscape. The potential advantages of a long-acting retinal therapeutic such as KSI-301 go beyond fewer and less frequent injections over time and also include the potential for patients to retain their vision over the long term due to fewer missed treatments and/or fewer drug holidays, as a result of more manageable treatment schedules. Moreover, a longer-acting medicine allows patients with vision-threatening diseases to remain on effective treatment even in the context of treatment disruptions that occur in ordinary circumstances (such as missed visits due to travel or concurrent illnesses), as well as extraordinary disruptions of regular treatment such as that exemplified by the COVID-19 pandemic, where more frequent clinic visits may not be desirable, possible or allowed in certain regions or countries.

Based on encouraging data observed in our Phase 1b study, we initiated a Phase 2b/3 pivotal study for patients with wet AMD (DAZZLE), which began recruiting in the third quarter of 2019 and exceeded its enrollment targets in the fourth quarter of 2020. Recruitment in the DAZZLE study is now closed, and we expect topline data to be reported in early 2022. We further expanded the KSI-301 clinical development program in the third quarter of 2020 with the initiation of and patient recruitment into two pivotal studies in DME (GLEAM and GLIMMER) and a pivotal study in RVO (BEACON). We expect BEACON to report topline data in the second quarter of 2022, and we expect GLEAM and GLIMMER to report topline data in the third quarter of 2022. We have also entered into some of the manufacturing-related commitments necessary for KSI-301’s commercial scale-up and Biologics License Application, or BLA, submission. We believe the intersection of our clinical and manufacturing activities remains on track per our “2022 Vision” to submit a single BLA for wet AMD, DME and RVO in calendar year 2022.

The KSI-301 Clinical Program is designed to assess KSI-301’s safety, efficacy and durability in wet AMD, DME, RVO and non-proliferative DR (without DME) through clinical studies run in parallel. We are conducting two Phase 3 studies in DME (the GLEAM and GLIMMER studies) to provide the mutually confirmatory studies required by the U.S. Food and Drug Administration, or FDA, for initial demonstration of safety and efficacy. We also are conducting one study in wet AMD (our ongoing DAZZLE study) and one study in RVO (the BEACON study) to support approval in these indications. We intend to file this package together in a single BLA in 2022. We also plan to run an additional Phase 3 study of KSI-301 in patients with non-proliferative DR without DME (the GLOW study); this study is anticipated to begin recruiting in early 2021. We expect that the global KSI-301 clinical program will be conducted at 150+ study sites in more than ten countries.

The Phase 3 GLEAM and GLIMMER studies are global, multi-center, randomized studies designed to evaluate the efficacy, durability and safety of KSI-301 in patients with treatment-naïve diabetic macular edema (DME). In each study, patients are randomized to receive either intravitreal KSI-301 on an individualized dosing regimen every eight to 24 weeks after only three loading doses or intravitreal aflibercept every eight weeks after five loading doses per its label. Each study is expected to enroll approximately 450 patients worldwide. The primary endpoint for both studies is the change from baseline in best-corrected vision at one year, and patients will be treated and followed for two years. The GLEAM and GLIMMER studies began recruiting patients in the United States in September 2020, and ex-U.S. clinical trial applications have been submitted. We expect to begin recruitment of GLEAM and GLIMMER outside of the United States in early 2021.

The Phase 3 BEACON study is a global, multi-center, randomized study designed to evaluate the efficacy, durability and safety of KSI-301 in patients with treatment-naïve macular edema due to RVO, including both branch and central subtypes. Patients are randomized to receive either intravitreal KSI-301 every eight weeks after only two loading doses or monthly intravitreal aflibercept per its label, for the first six months. In the second six months, patients in both groups will receive treatment on an individualized basis per protocol-specified criteria. The study is expected to enroll approximately 550 patients worldwide. The primary endpoint is the change from baseline in best-corrected vision at six months, and patients will be treated and followed for one year. The BEACON study began recruiting patients in the United States in September 2020, and ex-U.S. clinical trial applications have been submitted. We expect to begin recruitment of BEACON outside of the United States in early 2021.

The Phase 2b/3 DAZZLE study is a global, multi-center, randomized study designed to evaluate the efficacy, durability and safety of KSI-301 in patients with treatment-naïve wet AMD. Patients are randomized to receive either KSI-301 on an individualized dosing regimen as infrequently as every five months and no more often than every three months or to receive aflibercept on its labeled every eight-week dosing regimen, each after three monthly initiating doses. The study has enrolled over 550 patients worldwide, exceeding its target enrollment, and recruitment in the study is now closed. The primary endpoint is at one year and each patient will be treated and followed for two years. We expect topline data from DAZZLE to be available in early 2022.

The ABC Platform and KSI-301 were developed at Kodiak, and we own rights to these assets in key geographies including the US, EU, China and other major countries. We have applied our ABC Platform to develop additional product candidates beyond KSI-301, including KSI-501, our bispecific anti-IL-6/VEGF bioconjugate. With data showing that as many as a quarter of wet AMD patients are poorly or incompletely responsive to anti-VEGF monotherapy, we believe that supplemental targeting of retinal microvascular inflammation through interleukin-6 inhibition may be of additional benefit in wet AMD, diabetic eye disease and other retinal inflammatory conditions. KSI-501 development is on track for an IND filing in 2021. We are expanding our early research pipeline to include ABC Platform-based triplet inhibitors for multifactorial retinal diseases such as dry AMD and the neurodegenerative aspects of glaucoma. format enables the simultaneous modulation of three biological pathways including both extracellular and intracellular targets, and a ratio of as many as 250 small molecule bioactives conjugated per antibody. Targeting multiple biological pathways with extended-durability ABC Platform medicines may be important for successfully treating dry AMD and glaucoma, progressive diseases, which remain leading causes of vision loss without adequate therapies.

Consistent with our vision to be a global retina research, development and commercialization company, we intend to progress these and other product candidates to address high-prevalence ophthalmic diseases. Our overall objective is to develop our product candidates, seek FDA and international health authority marketing authorization approvals and ultimately commercialize our product candidates.

Recent developments

Completion of Enrollment in DAZZLE Wet AMD Study

In November 2020, we exceeded target enrollment for the DAZZLE Phase 2b/3 pivotal study of KSI-301 in patients with wet AMD with over 550 patients now enrolled, and as of November 16, 2020, recruitment into the DAZZLE study is closed. With DAZZLE having a one-year primary efficacy endpoint, the last patient’s one-year visit is expected in late 2021, and we are on track for analyzing and releasing the topline results of the DAZZLE study in early 2022. Our progress keeps us on schedule towards achieving our “2022 Vision” to submit a single BLA for wet AMD, DME and RVO in calendar year 2022.

Safety of KSI-301 Injections Remains Consistent With Safety Profile of Current Standard of Care

We believe the safety profile of KSI-301 continues to be very encouraging. Now with 657 injections given in the Phase 1a/1b program (as of November 12, 2020), the safety profile of KSI-301 continues to track with the expectations set by the safety profile of the current standard of care intravitreal medicines. Patients have been followed in this open-label study for as long as 22 months, representing 146 patient-years of clinical experience.

To date, none of the serious adverse events, or SAEs, observed have been deemed drug-related, and the 38 SAEs reported in 20 subjects are typical of the SAEs expected in these patient populations. Of these, two ocular SAEs have been reported in the study eyes of patients; neither was deemed drug-related and both resolved. The first event was worsening of DME due to metabolic decompensation and acute systemic fluid overload; this was resolved by treatment with KSI-301 under the study protocol. The second was worsening cataract in a diabetic patient with pre-existing cataract and resolved with routine cataract surgery.

There remain only two events (previously described) of intraocular inflammation. The events were mild in nature, both trace to 1+ grade cells in the vitreous, on a standardized scale where 0 is none and 4+ is severe. They resolved completely, and there was no vasculitis or retinitis in either patient. Both patients did very well with substantial improvements in vision from baseline; each of them having gained 30 letters or 6 lines of vision as of their last visits.

Implications of being an emerging growth company

We are an “emerging growth company” as defined in the Jumpstart Our Business Startups Act of 2012, as amended, or JOBS Act. However, we have chosen to irrevocably “opt out” of such extended transition period, and as a result, we will comply with new or revised accounting standards on the relevant dates on which adoption of such standards is required for non-emerging growth companies. Section 107 of the JOBS Act provides that our decision to not take advantage of the extended transition period for complying with new or revised accounting standards is irrevocable.

Use of proceeds

We expect that the net proceeds from our issuance and sale of shares of our common stock in this offering will be approximately $531.8 million, or approximately $611.7 million if the underwriters exercise their option to purchase additional shares of our common stock in full, after deducting underwriting discounts and commissions and estimated offering expenses payable by us.

We currently intend to use the net proceeds from this offering, together with our current cash and cash equivalents and marketable securities to advance the clinical and manufacturing activities for KSI-301 towards achieving our “2022 Vision” of a single BLA filing of KSI-301 for wet AMD, DME and RVO, as well as to advance our pipeline of drug candidates including KSI-501 and KSI-601, and for working capital and general corporate purposes. Our goal is to prevent and treat the major causes of blindness by developing and commercializing next-generation therapeutics for chronic, high-prevalence retinal diseases.

Since 2018, we have been generating clinical data with our most advanced product candidate, KSI-301, a biologic therapy built with our antibody biopolymer conjugate platform, or ABC Platform, which is designed to maintain potent and effective drug levels in ocular tissues for longer periods than the currently-marketed biologic medicines used to treat retinal diseases. As of November 9, 2020, KSI-301 has been administered more than 1,500 times to more than 400 patients representing more than 250 patient-years of clinical experience. We believe that KSI-301, if approved, has the potential to be an important therapy to treat patients with wet age-related macular degeneration, diabetic retinopathy, including diabetic macular edema, and macular edema due to retinal vein occlusion.

Delaware Law

The holders of a majority in principal amount of the outstanding debt securities of an affected series may waive any default or event of default with respect to the series and its consequences, except defaults or events of default regarding payment of principal, premium, if any, or interest, unless we have cured the default or event of default in accordance with the indenture. We will periodically file statements with the trustee regarding our compliance with specified covenants in the indenture.

Modification of Indenture; Waiver

We and the trustee may change an indenture without the consent of any holders with respect to specific matters:
